Nutrient PDF to Markdown License

This License is between PSPDFKit GmbH, doing business as Nutrient ("Nutrient"), and the individual or legal entity accepting it ("you"). If accepting for an organization, you represent that you have authority to bind it. "Software" means the Nutrient PDF to Markdown command-line software, accompanying proprietary extraction engine, and documentation distributed with this License. Third-party components are addressed in Section 12.

By using the Software after this License has been made available to you, you accept its terms. Downloading an update, receiving a notice, or recording that a notice was displayed does not alone constitute acceptance. If you do not accept, this License grants no rights; earlier licenses and separate agreements are addressed in Section 4.

1. License grant and permitted integrations

Subject to this License, Nutrient grants you a worldwide, non-exclusive, non-transferable license to install, copy as reasonably necessary, and operate the Software for personal or business purposes. You may integrate and operate it within your applications, automated workflows, hosted services, and software-as-a-service offerings and make its functionality available to users, subject to Sections 2, 3, 5, and 6.

Employees and contractors may operate the Software on your behalf under your responsibility. Permitted copies include internal development, testing, CI, container, backup, private package mirror, and deployment copies, accessible only to authorized operators. Hosting-provider infrastructure does not itself constitute OEM Use. Permitted hosted or SaaS use requires no separate OEM agreement merely because users are third parties.

You may process customer documents and use or distribute resulting output within these permitted uses. This License transfers no ownership in documents or output to Nutrient. You remain responsible for obtaining rights needed to process and distribute that material. Nutrient and its licensors retain ownership of the Software and rights not expressly granted. The Software is licensed, not sold.

2. Free and unlimited Standard functionality

Standard conversion and query are free, without limits on documents, pages, queries, or processing events, for individuals and organizations of every size. These rights include the integrations permitted by Section 1.

Standard conversion and query require no Nutrient account, license key, subscription, or free-tier eligibility determination. They consume no premium allowances. Standard conversion may report an error when an explicitly configured key or saved sign-in cannot be authenticated. Standard reporting is best effort and does not block these functions.

The competitive-use and OEM restrictions remain applicable. Revenue and employee limits for free DWS premium access do not apply to Standard conversion or query.

3. Vision, premium entitlements, and billing

"Premium Functionality" means Vision and additional functionality expressly identified as premium in the applicable product description or order. Standard conversion and query are not Premium Functionality under this License.

Premium Functionality requires authorization for the requested functionality and channel. CLI Vision supports Nutrient account sign-in, API keys, and Nutrient CLI license keys. Signing in or possessing a credential alone does not establish the required authorization or available allowance.

Account-based CLI Vision is available through free and paid Nutrient Document Web Services (DWS) plans that include Vision, subject to their allowances and eligibility conditions. Account sign-in and API keys use the same account entitlement and allowance.

Existing Nutrient CLI license keys continue to authorize use under their applicable agreements, including any permitted offline use. Separately signed agreements are addressed in Section 4.

An organization with more than twenty (20) employees OR more than one million United States dollars (USD 1,000,000) in annual gross revenue is ineligible for free DWS premium access and must purchase access, including for development, testing, and evaluation. An organization at or below both thresholds remains subject to the offering's other eligibility conditions. Paid access is available to organizations of any size under applicable entitlements.

Your accepted DWS plan or order specifies prices, allowances, billing periods, and payment obligations. Unless it expressly specifies another metering method, each input page of a document successfully converted using Vision consumes one Vision page. An engine conversion that fails does not consume Vision pages. Failure to report or settle usage after successful conversion is not an engine failure. Reconciliation or retransmission of the same usage event must not create an additional charge. A new conversion of the same document is a separate processing event and may consume pages; a nonzero command exit alone does not establish whether conversion succeeded. Conversion and settlement status must be distinguishable in reported results or account usage records.

Premium access may require connectivity to verify entitlements and settle usage. Exceeding an allowance does not authorize overage charges or an automatic upgrade unless your accepted plan or order expressly permits them. Premium limitations do not limit Section 2 rights. For permitted SaaS integrations, the operating organization's entitlement governs; it does not authorize sharing its account credentials or license keys with end users.

4. Applicable terms, earlier versions, and migration

An agreement signed by you and Nutrient expressly covering the Software controls over this License to the extent of a conflict. This License does not amend that agreement or authorize a technical bypass. If it requires a different credential or entitlement arrangement, Nutrient and you must establish an express transition arrangement before changing the agreed access rights.

Your accepted DWS order and applicable DWS terms govern account administration, payment, and purchased entitlements. An order controls conflicting general DWS terms. For the Software, this License controls conflicting general DWS terms concerning use and integration, local processing and privacy commitments, suspension and termination, warranties, liability, and disputes. General DWS restrictions do not reduce free Standard or query rights, prohibit SaaS uses permitted here, or make them OEM Use. Only a signed agreement expressly changing those rights overrides this allocation. An applicable data processing agreement controls conflicting personal-data-processing provisions for the processing it covers, without expanding rights to collect documents or use them for training. A privacy policy or general website terms do not amend this License's commercial grant.

This version applies to Software distributed with it and validly accepted under it. Previously obtained versions remain governed by their applicable licenses, including their duration and termination provisions. Publication of this License does not retroactively change those rights. Updated terms require notice and valid acceptance for the versions to which they apply; installing an automatic update alone does not amend an earlier license or separately signed agreement. This provision grants no perpetual or irrevocable rights absent from an earlier agreement.

5. OEM restriction

This License grants no OEM rights. "OEM Use" means distributing, sublicensing, or supplying the Software or its proprietary extraction engine as an embedded component of another product for deployment or operation by a third party, including a white-labeled or customer-deployed product. OEM Use requires a separate written agreement with Nutrient expressly authorizing it.

Operating a hosted or SaaS integration under your operational control and providing its functionality or output to users is permitted under Section 1, including operation on hosting-provider infrastructure by authorized operators acting for you. Supplying a bundled engine for a customer to deploy or operate is OEM Use. Branding your hosted application under your own name does not alone constitute OEM Use or permit removing the Software's proprietary notices.

Installation instructions directing a user to obtain the Software from Nutrient under that user's own license do not alone constitute redistribution or OEM Use. Internal copies permitted by Section 1 are not OEM Use. No other right to distribute or sublicense the proprietary Software is granted.

6. Restrictions

You may not use the Software or its functionality to develop, operate, or provide a product or service that competes with Nutrient's commercial offerings. This restriction concerns using the Software to supply competing functionality. Operating in an adjacent market or integrating the Software into an application does not alone establish competition. Independent development that does not use the Software is not prohibited.

You may not circumvent licensing controls or premium limits; use multiple accounts or false eligibility information to obtain unauthorized free premium access; disclose account credentials or license keys to unauthorized parties; remove copyright, trademark, or proprietary notices; or use the Software unlawfully. Exercising unlimited Standard or query rights is not circumvention. These restrictions do not limit rights that applicable law or a third-party component's license prevents Nutrient from restricting.

7. Local processing, usage information, and privacy

Document conversion and query run locally on the infrastructure where you operate the Software. The Software does not send document contents, file names, paths, or converted output to Nutrient. This License grants Nutrient no right to use those materials for model training. Documents you separately submit to a hosted DWS service are governed by that service's applicable terms rather than this local-processing description.

DWS licensing and billing communications may include account or installation identifiers, conversion event identifiers, command and mode, input page count, time, CLI version, and entitlement and settlement information. These support entitlement verification, usage reconciliation, billing, and abuse prevention. Installation identification may use a stable hash derived from system identifiers. The hash may link activity over time or to an account and may constitute personal data; it is not represented as anonymous or product-specific.

The underlying SDK may also send operational, performance, feature-usage, and diagnostic telemetry. Its purposes and handling, including recipients, retention, and privacy rights, are described in Nutrient's Privacy Policy and applicable collection notices. The local-document protection above also applies to these communications. Nutrient will provide required notices before collection and obtain consent where applicable law requires it. License acceptance is not consent to optional analytics or a waiver of privacy rights. Required privacy choices must be presented separately.

You are responsible for notices and permissions required for your own processing of users' documents and operation of your integration. This does not transfer Nutrient's data-protection obligations to you.

8. Term, suspension, and termination

This License continues until terminated under this Section. You may terminate by ceasing use and deleting copies you control; cancel paid subscriptions separately under their applicable terms.

Nutrient may terminate for a material breach remaining uncured thirty (30) days after written notice describing it. Nutrient may immediately suspend affected access where reasonably necessary to address deliberate circumvention, unauthorized key disclosure or redistribution, fraud, unlawful use, or an imminent security threat. Suspension must be proportionate, limited to affected access where practicable, and lifted when its grounds are remedied. Nutrient will promptly give notice and reasons unless prohibited by law or disclosure would materially compromise security. For a material breach incapable of cure, Nutrient may terminate immediately by written notice explaining the grounds.

Expiry, nonpayment, or exhaustion of a premium entitlement limits premium access under its applicable terms; it does not alone terminate free Standard or query rights. Upon termination, cease use and delete copies licensed under this License, except copies retained solely where legally required or inaccessible routine backups retained until ordinary deletion. Rights under separate agreements and earlier licenses continue to the extent those agreements provide. Termination does not require deleting your documents or output or affect their ownership.

Accrued payment obligations and Sections 4, 6, 7, and 9–13 survive to the extent necessary to give them effect. Section 6 does not prohibit independent development after termination. Refund and cancellation rights under applicable subscription terms and mandatory law remain effective.

9. Warranties and support

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR EXPRESS COMMITMENTS IN THIS LICENSE OR AN APPLICABLE AGREEMENT, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." NUTRIENT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NO SUPPORT, SERVICE LEVEL, OR FUTURE UPDATE IS PROMISED UNLESS INCLUDED IN YOUR APPLICABLE AGREEMENT.

Assess suitability for your use, verify conversion output as appropriate, and maintain backups. This Section does not negate express commitments concerning free functionality, local document processing, or usage charging, or mandatory warranties and consumer remedies.

10. Limitation of liability

SUBJECT TO THE EXCEPTIONS BELOW, NUTRIENT AND ITS LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING INDIRECT LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS LICENSE OR THE SOFTWARE.

THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS LICENSE OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF USD 100 OR THE FEES YOU PAID OR OWE FOR THE AFFECTED SOFTWARE AND PREMIUM FUNCTIONALITY DURING THE TWELVE MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY. THIS LIMIT APPLIES ACROSS CLAIMS AND LEGAL THEORIES, WHETHER CONTRACT, TORT, OR OTHERWISE.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or liability that applicable law prohibits limiting. A controlling separately signed agreement may provide different allocations. Nothing here limits mandatory consumer rights.

11. Governing law and disputes

North Carolina law governs this License without its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Each party submits to the exclusive jurisdiction of the state courts in Wake County, North Carolina, and the United States District Court for the Eastern District of North Carolina for disputes under this License, where subject-matter jurisdiction exists.

For consumers, this choice does not displace mandatory protections under the law of habitual residence or require proceedings contrary to mandatory consumer jurisdiction rules. A controlling separately signed agreement's dispute provisions remain effective.

12. Third-party software

Third-party components are governed by their respective licenses, which control for those components to the extent of a conflict. This License does not diminish rights they grant. Applicable notices accompany the Software or appear in the Nutrient CLI acknowledgements. Nutrient remains responsible for its applicable third-party distribution obligations.

13. General provisions and notices

This License and the agreements incorporated under Section 4 form the agreement for their respective subject matter and supersede prior proposals, subject to Section 4's preservation of existing rights. Changes require the acceptance described above or an agreement signed by both parties. Purchase-order boilerplate does not amend these terms.

Neither party may assign this License without the other's written consent, except to a successor in a merger, reorganization, or sale of substantially all relevant assets that assumes its obligations. Assignment does not expand entitlements or grant OEM rights. An unenforceable provision applies only to the lawful extent; the remainder continues to apply. Failure to enforce a provision is not a waiver. Except for licensors' protections in Section 10, this License creates no third-party enforcement rights.

Send contractual notices to legal@nutrient.io, identifying this License and the relevant account or installation where available. Send sales and licensing inquiries to sales@nutrient.io. Nutrient may send notices to your designated account contact or another address you provide for that purpose; for accountless use, notices may be delivered directly through the Software with a durable copy available. Notices are effective on receipt. Displaying a notice alone does not establish acceptance of new terms.
